The following terms and conditions (“Terms and Conditions”) govern the sale of products or services (“Products”) by PRO-S d.o.o. (hereinafter referred to as “PRO-S”) to PRO-S’s customers (“Customer”).
These Terms and Conditions apply exclusively and supersede any other terms referred to in purchase orders, acknowledgments, confirmations, or other documentation issued by either party. This agreement can only be modified in writing and signed by authorized representatives of both parties.
ORDERS – Orders will be initiated by the Customer specifying the product, quantity, part number, and price. Orders are subject to PRO-S’s acceptance. All orders must be paid in advance unless otherwise agreed between the Customer and PRO-S. PRO-S reserves the right to refuse any order at its discretion.
PRICES – Unless otherwise stated in writing by PRO-S, prices are for Products only and do not include applicable taxes, duties, handling, freight, or other fees. Prices are subject to change without notice. Payments should be made according to the instructions provided.
TERMS OF PAYMENT – Payments must be made in advance unless otherwise agreed upon in writing by PRO-S. Accepted payment methods is wire transfer. Checks and Western Union payments are not accepted. Wire transfers usually take 3-5 business days to clear, and shipments will only be made once payment is verified by our bank.
DELIVERY – Products are shipped by PRO-S at the Customer’s cost and risk to the address indicated in the order. Unless specified by the Customer, PRO-S will select the carrier and delivery route. PRO-S aims to meet the requested delivery dates and quantities as ordered by the Customer; however, the Customer acknowledges that any shipment or delivery dates provided are estimates only. PRO-S is not liable for failure to meet those dates. Delivery of Products within 30 days of the requested date constitutes full delivery. Delays in one installment do not entitle the Customer to cancel remaining installments. Products are deemed accepted unless the Customer provides written notice of shortages, damage, or defects within 5 business days of delivery.
INCOMING INSPECTION – The Customer must perform incoming inspections to ensure the Products match the order and order confirmation. If any discrepancies are found, the Customer must notify PRO-S within 5 business days of receiving the shipment. Failure to inspect the Products within this period will result in the acceptance of the delivered Products.
WARRANTY – PRO-S warrants its hardware against defects in material or workmanship for 12 months from the date of delivery. At its discretion, PRO-S will repair, replace, or refund the purchase price of defective hardware under this warranty. It is the Customer’s responsibility to arrange and cover the cost of return shipping to PRO-S. All returns require a Return Material Authorization (RMA) form. Repaired or replaced hardware will be warranted for the remaining portion of the original warranty period. PRO-S’s warranty excludes defects caused by normal wear, external influences (e.g., electromagnetic, electrolytic, chemical), unapproved repairs, improper maintenance, failure to follow instructions, or failure to implement recommended updates. Before mass production, the Customer must test the Products to ensure they meet the intended purpose. PRO-S’s warranty does not apply to Products not identified as “Initial Production,” “Mass Production,” or “End of Life.” The warranty terminates if the Customer breaches these Terms and Conditions.
PRODUCT RETURN – Products may only be returned to PRO-S with a return material authorization (RMA) document issued by PRO-S. The Customer must notify PRO-S in writing of the specific Product defect during the warranty period to request an RMA. PRO-S will only issue an RMA if the defect is the result of PRO-S’s or the original manufacturer’s fault. The Customer must return the Product properly packaged with the RMA number visible on the package. Failure to follow return instructions may forfeit any potential credit from PRO-S.
CLAIMS – Complaints regarding the quantity or quality of hardware must be submitted in writing within 7 days of receiving the Product. Claims can be made via the contact form on our website or via the email provided on PRO-S’s website.
LIMITATION OF LIABILITIES – PRO-S will not be liable for lost profits, manufacturing expenses, business interruptions, loss of data, or any indirect, special, incidental, or consequential damages. Customer’s recovery for any claim will not exceed the purchase price paid for the affected Products, regardless of the claim’s nature.
FORCE MAJEURE – PRO-S will not be liable for failure to fulfill obligations due to causes beyond its reasonable control (e.g., acts of nature, operational disruptions, natural disasters, epidemics, material shortages, strikes, criminal acts, or delays in transportation).
OWNERSHIP – Ownership of hardware remains with PRO-S until full payment is received. The intellectual property rights in the Product remain with PRO-S or its licensors. Content on the PRO-S website, including artwork, data, logos, and text, is protected and may not be copied, reproduced, or transmitted without prior written consent from PRO-S.
TECHNICAL INFORMATION – Information provided in summaries, brochures, data sheets, and other materials is not binding and does not constitute a warranty. PRO-S may update such information without notice.
FREE-OF-CHARGE TECHNICAL SUPPORT SERVICES – PRO-S may provide free technical support services at its discretion. Additional support levels may be available for a fee under a separate agreement.
CONFIDENTIALITY – Technical information, drawings, prices, and offers provided by PRO-S may not be copied, modified, or disclosed to third parties.
EXPORT CONTROLS – The Customer represents that the Products will not be shipped to countries subject to embargoes, export controls, or restrictions under applicable laws. The Customer will confirm compliance with these restrictions if requested by PRO-S.
PERSONAL DATA AND PRIVACY – The collection and use of personal data in connection with orders are governed by PRO-S’s Privacy Policy, which may be updated from time to time and is incorporated by reference into these Terms and Conditions.
